These Affiliate Program Terms and Conditions (“Terms”) govern your participation in the hosting.com Affiliate Program (“Affiliate Program”). Please read these Terms carefully. If you have questions regarding the Affiliate Program, please contact us at [email protected].

1. TERMS AND CONDITIONS
By applying for, registering for or participating in the Affiliate Program, you agree to be bound by these Terms and the hosting.com Service Terms, which are incorporated into this Affiliate Policy by reference. If you do not agree to these Terms, you must not participate in the Affiliate Program and must cease using any affiliate links of materials provided by hosting.com.
If you are accepted to participate in our Affiliate Program and your website, social media account, promotional channel or other activity is, at any time, determined by us to be unsuitable or inconsistent with these Terms, we may suspend or terminate your participation in the Affiliate Program.
The examples of the prohibited content or activities include:
content that promotes unlawful discrimination or hatred;
sexually explicit, pornographic or obscene content;
illegal or unlawful activities;
unlawful, harmful, threatening, defamatory, harassing or otherwise objectionable content;
content related to liquor, tobacco, firearms, drugs, gambling, crime or death;
Auto-traffic generators or traffic exchanges; and
Any other material or activity that hosting.com reasonably determines as harming the Affiliate Program, hosting.com, its customers or its reputation.
2. CHANGES
hosting.com reserves the right to modify these Terms from time to time. We will publish the updated Terms and update the “Last updated” date above. Where appropriate, we may also notify you of material changes through your affiliate account, by email or through another reasonable means. Your continued participation in the Affiliate Program following the effective date of the updated Terms constitutes acceptance of those changes.
3. COMMISSIONS
Affiliates may earn commissions on eligible sales in accordance with the commission structure applicable to their participation in the Affiliate Program. Applicable rates and any performance-based incentives will be communicated to Affiliates through their affiliate account or by other means determined by hosting.com from time to time.
Commission rates may vary based on factors including the products or services promoted, sales volume, traffic quality, customer retention, promotional arrangements and overall affiliate performance. hosting.com reserves the right to modify applicable commission rates and structures from time to time, subject to the terms of this Agreement.
All new sales are subject to a 45-day approval period.
Each new sale must remain in good standing. Commissions will not be payable for sales that have been canceled during the 45-day approval period, terminated, charged back, refunded, have outstanding balances, are test transactions (whether initiated by the Affiliate or hosting.com), or are duplicate transactions.
All sales must originate from the Affiliate’s unique tracking URL. Affiliate tracking links must not be altered or manipulated in a manner that interferes with accurate tracking. hosting.com is not responsible for commissions that cannot reasonably be attributed to an Affiliate due to an incorrect, modified or improperly implemented tracking link.
A valid commission may be earned only on an eligible purchase made by a new customer through the Affiliate’s tracking link. Purchases by existing customers and subsequent renewal orders are not eligible for commission.
Affiliate generated sales that do not meet these requirements, will not be eligible for commission credit.
hosting.com reserves the right to review Affiliate activity and determine whether a transaction qualifies for commission under these Terms. We may withhold, deny, reserve or adjust commissions where we reasonably determine that a transaction results from fraud, abuse, manipulation, prohibited activity, unusually high cancellation or refund rates, poor-quality traffic, or otherwise fails to satisfy the requirements of the Affiliate Program.
4. PAYMENT
Commissions are paid when affiliates reach a $100 commission balance. Commission balances that have not yet reached $100 will carry over to the next month until the $100 minimum has been reached for a period of 18 months and are thereafter forfeited by you and no longer eligible for commission. Commissions are processed on the 15th of each month and paid via PayPal or, where enabled by hosting.com, wire transfer. If 15th falls on a weekend, the commissions are processed on the next available workday. A payment will be made to the payment method active or otherwise approved for your affiliate account at that particular time. All funds are paid in U.S. dollars.
You must provide any tax forms, identification or other information reasonably required by hosting.com before payment may be made. You are responsible for any taxes arising from commissions paid to you under the Affiliate Program.
5. AFFILIATE RESTRICTIONS
Failure to comply with the following restrictions may result in suspension or termination from the Affiliate Program and the withholding, reversal or cancellation of commissions associated with the prohibited activity. hosting.com reserves the right to investigate suspected violations and take reasonable action to protect the integrity of the Affiliate Program.
Self-referrals. Affiliates shall not earn commissions through self-referrals, their own purchases, accounts owned by them or purchases made for their own benefit, or any arrangement designed to circumvent this restriction.
Tracking manipulations. Cookie stuffing, forced clicks, unauthorized cookie placement and other methods designed to manipulate attribution or tracking are prohibited.
Browser extensions. Affiliates shall not use browser extensions, add-ons, toolbars or similar technologies to set affiliate identifiers or generate or redirect Affiliate traffic to hosting.com without our prior written approval.
Traffic exchanges / incentive offers. Affiliates cannot use traffic exchanges or incentive-based traffic without our prior written approval.
Disguising hosting.com pages. Affiliates may not use frames, iframes or other methods that disguise the source or destination of Affiliate traffic, or represent or imply that an Affiliate website or other channel is operated by or forms part of hosting.com.
Customer accounts. When an Affiliate creates or manages an account on behalf of a customer, the account must be owned by the customer, the customer must be aware that the services are provided by hosting.com, and the customer must retain control over payments for the account.
Address-bar and carrier traffic. Affiliates may not enter into arrangements with ISPs, mobile carriers or similar providers that result in address-bar keyword trafficking, URL trafficking or comparable traffic redirection to hosting.com.
Affiliate networks. Affiliate networks may not sign up for or participate in the Affiliate Program without the affiliate manager’s prior written permission.
· Agencies and service providers. Web design, web development and other website service providers may sign up on behalf of a customer, provided that the customer’s details are used during checkout and the account is owned by the customer. The customer must be aware that the services are provided by hosting.com and must retain control over payments for the account. Affiliates may not register a customer account using the Affiliate’s own details or pay the customer’s invoice on the customer’s behalf.
6. ELECTRONIC MARKETING AND ANTI-SPAM
Affiliates must comply with all applicable laws and regulations governing email, SMS and other electronic marketing communications. Affiliates may not send unsolicited commercial communications promoting hosting.com or use false, misleading or deceptive sender information, subject lines, routing information or content.
Where consent is required by applicable law, Affiliates must obtain and maintain valid consent before sending marekting communications and must provide recipients with a clear and effective method to opt out or unsubscribe. Opt-out requests must be honored within the period required by applicable law.
Affiliates are solely responsible for ensuring that their marketing activities comply with applicable legal and regulatory requirements.
7. ADVERTISING AND PROMOTIONAL PRACTICES
7.1. General promotional conduct. Affiliates must ensure that all advertising, promotional content and other communications relating to hosting.com are accurate, lawful and not misleading. Affiliates may not make any unauthorized representation, warranty, guarantee or commitment on behalf of hosting.com, or advertise any price, discount, promotion, product or service on terms that are inaccurate, expired or not authorized by hosting.com.
7.2. Affiliate disclosure. Affiliates must clearly disclose their relationship with hosting.com where required by applicable law and comply with all applicable advertising, consumer protection and marketing laws and regulations in connection with their participation in the Affiliate Program.
7.3. Coupons, discounts and promotional offers. Affiliates may only advertise coupon codes, discounts, promotional offers or other incentives that hosting.com has authorized for use through the Affiliate Program. Affiliates may not advertise expired, unauthorized or misleading offers, or represent that an offer is exclusive unless hosting.com has expressly authorized it as such.
7.4. Paid search /PPC. Affiliates may engage in paid search advertising subject to these Terms and any additional requirements communicated by hosting.com. Unless expressly authorized by hosting.com in writing, Affiliates may not bid on “hosting.com”, “A2 hosting”, hosting.com trademarks or A2 hosting trademarks, or misspellings, variations or combinations of hosting.com trademarks as keywords or search terms. Affiliates must comply with any additional paid-search requirements communicated by hosting.com from time to time.
7.5. Domain names and social media identities. Affiliates may not register or use domain names, social media account names, usernames or other identifiers that contain hosting.com trademarks, or confusingly similar variations or misspellings thereof, without our prior written approval.
7.6. Brand materials. Any use of hosting.com’s names, trademarks, logos or other brand materials must comply with Section 9 and any brand guidelines provided by hosting.com.
7.7. Prohibited methods. Affiliates may not use promotional methods primarily designed to generate artificial, fraudulent or non-genuine transactions or otherwise manipulate eligibility for commissions. Affiliates may not promote hosting.com to audiences primarily seeking to use the service only as a trial, test or other short-term arrangement, or solely to obtain an incentive, including organized classroom or similar sign-up activity. Affiliates using these tactics may be removed from the Affiliate Program and commissions associated with the prohibited activity may be withheld, reversed or cancelled.
8. DISCLAIMER
hosting.com makes no representations or warranty regarding the amount of commission or other income that an Affiliate may earn through the Affiliate Program. The Affiliate Program, tracking systems and related services may occasionally be unavailable, interrupted or subject to technical errors, and hosting.com does not guarantee uninterrupted or error-free operation.
9. GRANT OF LICENSES
We grant to you a non-exclusive, non-transferable, limited and revocable licence, for the duration of your participation in the Affiliate Program, to use our logos, trade names, trademarks, and similar identifying material we make available to you (collectively, the "Licensed Materials") solely for the purpose of promoting hosting.com in accordance with these Terms and any applicable brand guidelines.
You may not modify the Licensed Materials without our prior written approval. All goodwill arising from your use of hosting.com’s Licensed Materials will benefit hosting.com. Upon termination of your participation in the Affiliate Program, you must immediately cease using the Licensed Materials.
10. LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOSTING.COM WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, IN NO EVENT SHALL HOSTING.COM'S CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION PAID OR PAYABLE TO YOU DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. INDEMNIFICATION
You will indemnify, defend and hold harmless hosting.com, its subsidiaries and affiliates, their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are related to: (a) your breach of these Terms; (b) your advertising, marketing or promotional activities; (c) your violation of applicable law; (d) your infringement or misuse of third-party intellectual property, or other rights; (e) your fraud, negligence or wilful misconduct, or (f) any claim related to your site, including, without limitation, content therein not attributable to us.
12. CONFIDENTIALITY
Each party must protect the other party’s non-public business, technical, financial and customer information that is identified as confidential or that reasonably should be understood to be confidential (“Confidential Information”). Confidential Information may be used only as necessary to perform obligations or exercise rights under these Terms and may not be disclosed except to personnel, professional advisers or service providers who have a need to know and are subject to appropriate confidentiality obligations, or where disclosure is required by law.
13. GENERAL
13.1. Independent contractor. You and hosting.com are independent contractors. Nothing in these Terms will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and hosting.com. You will have no authority to make or accept any offers or representations on hosting.com’s behalf. You will not make any statement, whether on Your Site or any other of your site or otherwise, that reasonably would contradict anything in these Terms.
13.2. Assignment. You may not assign or transfer your rights or obligations under these Terms without hosting.com’s prior written consent. hosting.com may assign or transfer its rights or obligations under these Terms to one of its affiliates or in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of its relevant business or assets.
13.3. Governing Law. These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
13.4. Waiver. hosting.com’s failure or delay in exercising any right under these Terms will not constitute a waiver of that right. A waiver of any provision will not constitute a waiver of that provision on any other occasion or of any other provision.
13.5. Entire Agreement. These Terms, together with any Affiliate Program requirements or other policies expressly incorporated by references, constitute the entire agreement between you and hosting.com regarding your participation in the Affiliate Program and supersede any prior agreements or understandings relating to the Affiliate Program.
13.6. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
